This settlement resolves allegations related to undisclosed payments made to silence former employees about misconduct involving McMahon and his company, WWE.

On Friday, the U.S. Securities and Exchange Commission (SEC) revealed that McMahon made two secret payments to individuals in an attempt to prevent them from speaking out.

In 2019, he paid $3 million to a former employee, and in 2022, he paid $7.5 million to an ex-independent contractor.

However, the SEC found that McMahon failed to disclose these payments to WWE’s Board of Directors or other company officials, violating corporate governance rules.

“Company executives cannot enter into material agreements on behalf of the company they serve and withhold that information from the company’s control functions and auditor,” said Thomas P. Smith Jr., Executive of the SEC’s New York Regional Office.

As part of the settlement, McMahon will pay a $400,000 fine and reimburse WWE $1,330,915.90 for the undisclosed payments.

However, the SEC clarified that McMahon neither admitted nor denied the findings of the investigation.

In response to the resolution, McMahon issued a statement on social media, expressing satisfaction with the settlement.

“The case is closed. Today ends nearly three years of investigation by different governmental agencies,” he wrote, calling the matter a result of “minor accounting errors” related to personal payments made during his time as WWE CEO.

This settlement marks the end of a years-long investigation that began after McMahon stepped down from his WWE role in 2022 amid allegations.
